It would seem that Visual Studio .Net 2003's minimize button doesn't actually minimize the wondow under Ultramon's Smart taskbar.
It pushes the window to the back of all windows but its not minimized.
Anyone else seeing this?

Unfortunately I don't know what might cause this, I also can't reproduce this issue.
I tested on Windows XP SP2 with Visual Studio 2003 SP1 and UltraMon 2.7.1. Clicking the window's minimize button correctly minimized Visual Studio on both the primary and secondary monitors.

Maybe this will help...
This has happened under both a Matrox display driver / card (quad) and the two NVidia dual-head card setup I've got now.
If I remove the smart taskbar, the problem goes away.
VS.Net 2003 v7.1.6030 XP Pro 2002 SP2 .Net Framework 1.1 SP1 (v1.1.4322)
Happens on all three monitors. Only seems to happen for VS.Net. I have not seen this in any other apps. Is there some way I can dump my settings so you can see how UltraMon is configured or is there anything else I can provide that would help? Barring that, is there anything I can do to have UltraMon COMPLETELY ignore VS.Net to see if then I will be able to use the minimize button?

UltraMon configuration shouldn't matter.
What happens if you have only Visual Studio running, and then minimize the application?
Does the window stay visible as before, or do you see the desktop?
